Terms of Service

These Terms of Service ("Terms") govern your access to and use of the StrataNav website (stratanav.com), API services, dashboards, documentation, and any related services (collectively, the "Services") provided by Nozaro Inc. ("Nozaro," "we," "us," or "our"), a corporation incorporated under the laws of Ontario, Canada.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Definitions

• "Client," "you," or "your" refers to the individual or entity accessing the Services.
• "API" refers to the StrataNav application programming interface and all associated endpoints.
• "Grid Data" refers to navigation grid data you upload to the Services for processing.
• "Output Data" refers to path coordinates, performance metrics, and other data returned by the API.
• "Evaluation Period" refers to any trial or evaluation access granted at no charge.

2. Account and API Access

2.1. API access is provisioned by Nozaro at its sole discretion. We reserve the right to approve, deny, suspend, or revoke access at any time and for any reason.

2.2. You are responsible for maintaining the confidentiality of your API credentials. You are liable for all activity that occurs under your API key.

2.3. You must not share, publish, or otherwise expose your API key. Compromised keys must be reported to us immediately.

2.4. You must provide accurate and complete information when requesting access.

3. Permitted Use

3.1. You may use the Services solely for the purpose of integrating pathfinding capabilities into your software applications, games, simulations, or other products.

3.2. You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, methods, techniques, or underlying technology of the Services.
• Use the Services to develop a competing pathfinding product or service.
• Resell, sublicense, or redistribute access to the API without our written consent.
• Exceed rate limits, circumvent usage controls, or engage in any activity that disrupts or degrades the Services.
• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Scrape, crawl, or systematically extract data from the website or API beyond normal usage.
• Attempt to access other clients' data, systems, or API keys.

4. Intellectual Property

4.1. Our IP: All intellectual property rights in the Services, including but not limited to the StrataNav API, algorithms, methods, techniques, software, documentation, website content, trademarks (StrataNav™, LEXARC™), trade secrets, and patent-pending technology, are and remain the exclusive property of Nozaro Inc. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Services as described herein.

4.2. Your IP: You retain all rights to your Grid Data and to the software products you develop using the Services. Grid Data you upload is processed in-memory and is not stored, retained, or used for any purpose other than providing the Services to you.

4.3. Output Data: Path coordinates and performance metrics returned by the API may be used freely within your products. Output Data does not contain or reveal our proprietary algorithms or methods.

4.4. No reverse engineering: The Services are provided as a managed API. You receive Output Data only. Any attempt to reverse engineer, reconstruct, or derive the underlying methods, algorithms, or technology from Output Data, API behavior, performance characteristics, or any other observable aspect of the Services is strictly prohibited and constitutes a material breach of these Terms.

5. Evaluation and Trial Access

5.1. Evaluation access is provided at no charge for a limited period at our sole discretion.

5.2. Evaluation access may be subject to usage limits and is provided "as is."

5.3. We reserve the right to terminate evaluation access at any time without notice or liability.

5.4. No obligation to enter into a paid agreement arises from the provision of evaluation access.

6. Service Levels and Availability

6.1. We will make commercially reasonable efforts to maintain the availability and performance of the Services.

6.2. We do not guarantee specific uptime, latency, or performance levels unless expressly set forth in a separate written Service Level Agreement (SLA).

6.3. Performance benchmarks published on our website are based on internal testing and are provided for informational purposes only. Actual performance may vary based on grid size, complexity, network conditions, and other factors.

6.4. We reserve the right to modify, suspend, or discontinue the Services at any time, with or without notice, and without liability to you.

7. Fees and Payment

7.1. Fees for paid access are as described in your service agreement or as published on our website.

7.2. All fees are exclusive of applicable taxes. You are responsible for all taxes and duties.

7.3. Unpaid amounts may result in suspension or termination of access.

7.4. We reserve the right to change pricing with 30 days' prior notice.

8. Confidentiality

8.1. Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information.

8.2. Our proprietary technology, algorithms, methods, performance characteristics, pricing terms, and any non-public information disclosed to you constitute our Confidential Information.

8.3. Your Grid Data, business plans, and non-public product details constitute your Confidential Information.

8.4. Confidentiality obligations survive termination of these Terms for a period of five (5) years.

9. Limitation of Liability

9.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOZARO INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, REVENUE, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2. NOZARO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO NOZARO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

9.3. These limitations apply to all claims in the aggregate, including but not limited to breach of contract, breach of warranty, negligence, strict liability, and other torts.

9.4. Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Disclaimer of Warranties

10.1. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

10.2. We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10.3. We do not warrant that paths computed by the Services will be optimal, suitable, or appropriate for any particular application, including safety-critical systems.

10.4. THE SERVICES ARE NOT DESIGNED OR INTENDED FOR USE IN SAFETY-CRITICAL APPLICATIONS, INCLUDING BUT NOT LIMITED TO AUTONOMOUS VEHICLE CONTROL, MEDICAL DEVICES, LIFE SUPPORT SYSTEMS, OR ANY APPLICATION WHERE FAILURE COULD RESULT IN DEATH, PERSONAL INJURY, OR ENVIRONMENTAL DAMAGE. YOU ASSUME ALL RISK ASSOCIATED WITH SUCH USE.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless Nozaro Inc., its directors, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your products or services that incorporate Output Data; or (e) any claim by a third party related to your use of the Services.

12. Termination

12.1. Either party may terminate these Terms at any time by providing written notice.

12.2. We may suspend or terminate your access immediately if you breach these Terms.

12.3. Upon termination: (a) your right to access the Services ceases immediately; (b) you must cease all use of the API and destroy any cached Output Data; (c) confidentiality obligations survive for five (5) years; (d) limitation of liability and indemnification provisions survive indefinitely.

13. Governing Law and Dispute Resolution

13.1. These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

13.2. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts of competent jurisdiction located in Toronto, Ontario, Canada.

13.3. You irrevocably consent to the personal jurisdiction and venue of such courts.

14. General Provisions

14.1. Entire Agreement: These Terms, together with the Privacy Policy and any separate written agreement, constitute the entire agreement between you and Nozaro regarding the Services.

14.2. Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.

14.3. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5. Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.

14.6. Modifications: We may modify these Terms at any time by posting the revised terms on this page. Material changes will be communicated with reasonable notice. Continued use of the Services after modifications constitutes acceptance.
